While these features are intended to enhance user experience and connection efficiency, they inherently involve real-world interactions that are beyond the direct control of the Platform. Accordingly, Midplace does not guarantee the conduct, intent, or behavior of any user and does not assume responsibility for outcomes arising from offline interactions initiated through the Platform.
These Terms apply globally to all users accessing the Platform, with specific consideration for compliance under applicable laws, including those in India. By using Midplace, you also agree to comply with all local laws, regulations, and guidelines applicable to your jurisdiction. We reserve the right to modify, update, or revise these Terms at any time to reflect changes in legal requirements, technological advancements, or platform functionality. Such updates will become effective upon publication, and your continued use of the Services after such changes constitutes your acceptance of the revised Terms. You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password, OTP access, and any linked authentication methods. Any activity that occurs under your account shall be deemed to have been carried out by you, whether or not such activity was authorized. You agree to immediately notify MidPlace of any unauthorized access, suspected breach, or misuse of your account. The Platform shall not be held liable for any loss, damage, or unauthorized activity resulting from your failure to safeguard your login credentials. Additionally, you agree not to share your account with any other individual, create multiple accounts for deceptive purposes, or attempt to bypass authentication or security mechanisms implemented by the Platform. Any such actions may lead to immediate suspension or termination of your account without prior notice.
MidPlace reserves the right to monitor account activity for security, fraud prevention, and compliance purposes. This may include tracking login patterns, device information, and behavioral signals to detect suspicious or unauthorized usage. In cases where unusual activity is identified, the Platform may temporarily restrict access, require additional verification, or take necessary action to secure the account. Furthermore, MidPlace retains the right to suspend, deactivate, or permanently terminate accounts that violate these Terms, pose a risk to other users, or undermine the integrity of the Platform. Such actions may be taken at our sole discretion, with or without prior notice, particularly in cases involving security concerns or serious violations. By using MidPlace, you acknowledge and accept that account security is a shared responsibility between you and the Platform, and that proactive cooperation is essential to maintaining a safe and trustworthy environment for all users.

MidPlace does not endorse, verify, or guarantee the identity, intentions, behavior, or suitability of any user, venue, or third-party participant. While certain verification mechanisms, such as profile validation or liveness checks, may be implemented to enhance trust, these measures are not exhaustive and do not eliminate the possibility of misrepresentation or misconduct. The Platform does not conduct background checks, criminal screenings, or behavioral assessments of users, nor does it monitor or supervise offline meetings. As a result, any decisions you make to interact with other users, accept connection requests, or attend meetups are made entirely at your own discretion and risk. MidPlace expressly disclaims any responsibility for outcomes arising from such interactions, including but not limited to personal disputes, misunderstandings, or any form of harm.

These integrations are provided for convenience and operational efficiency, but MidPlace does not control or guarantee the accuracy, availability, or reliability of such third-party services. The inclusion of any venue or third-party service does not constitute an endorsement or guarantee of quality, safety, or suitability. By using the Platform, you acknowledge that MidPlace’s responsibility is limited to providing the digital infrastructure that enables connections, and that all real-world interactions, decisions, and consequences arising therefrom remain solely the responsibility of the users involved.

You agree to exercise reasonable judgment, take necessary precautions, and prioritize safety when arranging and attending meetups. This includes choosing appropriate public venues, informing trusted contacts when necessary, and using safety features provided within the Platform. You must not engage in any behavior that could harm, threaten, harass, intimidate, or exploit other users, whether physically, emotionally, or financially. Additionally, you agree not to use the Platform for any unlawful purpose, including but not limited to fraud, solicitation of illegal services, distribution of harmful content, or any activity that violates applicable laws or regulations. MidPlace does not monitor offline interactions, and therefore, you accept full responsibility for your actions and decisions in such contexts.
Furthermore, you agree to comply with all Platform policies, system limitations, and operational rules, including those related to matching, communication restrictions, location usage, and feature access. You must not attempt to interfere with, disrupt, or manipulate the functioning of the Platform, including bypassing security measures, exploiting system vulnerabilities, or using automated tools to gain unfair advantage. Any misuse of features such as location tracking, ping systems, or connection tools in a manner that compromises user privacy or platform integrity is strictly prohibited. MidPlace reserves the right to investigate any suspected violations and to take appropriate action, including restricting access, suspending accounts, or reporting unlawful activity to relevant authorities. By using MidPlace, you acknowledge that adherence to these responsibilities is essential for maintaining a secure, respectful, and effective environment, and that failure to comply may result in serious consequences, including permanent removal from the Platform.
MidPlace operates as a location-based platform where proximity and geographical context are essential to delivering its core functionality. By using the Services, you acknowledge and expressly consent to the collection, processing, and use of your location data in accordance with these Terms and the applicable Privacy Policy. You acknowledge that MidPlace cannot guarantee complete anonymity or concealment of your location and that certain inferences about proximity may still be possible based on platform activity. Failure to comply with location-related requirements may result in limited functionality or suspension of your account.

By using these features, you acknowledge that matches are generated through algorithmic processes that consider multiple factors, including location data, profile attributes, availability status, and user-defined preferences. While MidPlace aims to optimize compatibility and relevance, it does not guarantee successful connections, responses, or outcomes from any interaction initiated through the Platform. All engagement decisions, including sending or accepting a Ping, are made voluntarily by users and are subject to individual discretion.
The Platform enforces certain limitations and rules to ensure fair usage, prevent misuse, and maintain a balanced user experience. These may include restrictions on the number of Ping requests that can be sent within a given timeframe, prioritization logic for incoming requests, and conditions under which a user may accept or decline connections. In some cases, acceptance of a Ping may temporarily restrict the ability to engage with additional requests, particularly where the Platform is designed to encourage focused, one-on-one interactions. Automated features such as “Surprise Me” may initiate connection attempts on your behalf based on predefined criteria and within a limited operational window. By enabling such features, you consent to the system sending automated requests aligned with your preferences. You understand that these automated interactions are part of the Platform’s design to facilitate spontaneous connections and that you retain the ability to accept or decline any resulting match.
Communication between users on MidPlace is intentionally limited and context-driven, with certain features unlocking only when predefined conditions are met, such as physical proximity between matched users. This approach is intended to prioritize real-world engagement over extended digital communication and to reduce the risk of misuse associated with unrestricted messaging. You agree to use all interaction features respectfully and in accordance with the intent of the Platform, refraining from spamming, harassment, coercion, or any behavior that may disrupt the experience of other users. Any attempt to manipulate the matching system, bypass interaction rules, or exploit platform mechanisms for unintended purposes is strictly prohibited. MidPlace reserves the right to monitor interaction patterns, enforce limits, and take appropriate action, including restricting feature access or suspending accounts, in order to preserve a safe, fair, and purpose-driven environment for all users.

The Platform does not guarantee the identity, intentions, behavior, or safety of any user, and it does not conduct background checks, criminal screenings, or behavioral assessments. Accordingly, you understand that meeting individuals through MidPlace carries inherent risks, including but not limited to personal harm, misconduct, or disputes, and you assume full responsibility for evaluating and managing such risks.
You agree to exercise reasonable judgment and take appropriate precautions when engaging in any meetup arranged through the Platform. This includes selecting safe and public meeting locations, informing trusted contacts when necessary, and utilizing any safety features made available within the Platform. MidPlace may provide suggestions for venues or meeting points based on factors such as distance, user preferences, and availability; however, these suggestions are generated algorithmically and do not constitute endorsements or guarantees of safety, quality, or suitability. The Platform is not responsible for the condition, security, or operations of any venue, nor does it assume liability for any incidents that may occur at such locations. You acknowledge that all decisions related to attending, confirming, or proceeding with a meetup are made independently by you, and that MidPlace’s role is limited to facilitating the initial connection and coordination.
To the fullest extent permitted by applicable law, MidPlace expressly disclaims any liability for damages, losses, injuries, or claims arising from or related to real-world interactions between users, whether such interactions were initiated through the Platform or occurred as a result of its use. This includes, but is not limited to, physical injury, emotional distress, financial loss, or any form of misconduct by another user or third party. You agree that MidPlace shall not be held responsible for the actions, omissions, or behavior of any user before, during, or after a meetup. By continuing to use the Platform, you affirm that you understand the nature of these risks and voluntarily assume them as part of your participation in a service that prioritizes real-world connections. Your use of MidPlace signifies your acceptance that the Platform functions solely as a facilitator and not as a guarantor of safety or outcomes in any offline interaction.

As such, users are expected to exercise personal judgment, remain cautious, and take proactive steps to ensure their own safety when engaging with others, both online and during in-person meetings.
You agree that MidPlace shall not be held liable for any incidents, damages, or harm that may occur despite the availability or use of safety features provided on the Platform. The inclusion of such features does not constitute a warranty, representation, or assurance of safety, nor does it imply that the Platform assumes responsibility for preventing misconduct or guaranteeing secure interactions. Users are solely responsible for evaluating risks, setting appropriate boundaries, and deciding whether to engage with other users or proceed with meetups. By continuing to use MidPlace, you acknowledge that safety is a shared responsibility and that while the Platform provides tools to assist you, ultimate responsibility for your actions, decisions, and well-being rests with you. Failure to use available safety features appropriately or to exercise reasonable caution does not create liability on the part of MidPlace.

You must not use the Platform to distribute or promote content that is offensive, defamatory, discriminatory, or otherwise inappropriate, nor may you use it to solicit illegal services, financial scams, or unauthorized commercial activities. Additionally, you agree not to interfere with the proper functioning of the Platform by attempting to bypass security measures, manipulate location data, exploit matching algorithms, or use automated systems, bots, or scripts to gain an unfair advantage or disrupt normal operations. Any such actions will be treated as a violation of these Terms and may result in immediate enforcement measures.
MidPlace reserves the right to monitor user activity, investigate suspected violations, and take necessary action to maintain platform integrity and user safety. This may include restricting access to certain features, issuing warnings, suspending accounts, or permanently terminating access to the Services, depending on the severity and nature of the violation. In cases involving illegal activity, the Platform may also cooperate with law enforcement or regulatory authorities as required by applicable law. You acknowledge that enforcement decisions are made at the sole discretion of MidPlace and may be implemented without prior notice, particularly in situations where immediate action is required to prevent harm or misuse. By continuing to use the Platform, you affirm your commitment to adhering to this Acceptable Use Policy and recognize that compliance is essential to maintaining a secure, respectful, and purpose-driven environment for all users.

Certain information may be inferred through user behavior, proximity-based interactions, or voluntary disclosures during communication and meetups. Additionally, once you choose to engage with another user or attend a real-world meeting, you may voluntarily reveal information that extends beyond the Platform’s control. MidPlace does not assume responsibility for any such disclosures or for the actions of other users who may misuse information obtained through interactions. By using the Platform, you accept that privacy is a shared responsibility and that while MidPlace strives to provide a secure and controlled environment, you must exercise discretion and judgment in how you share information and engage with others. Continued use of the Services signifies your understanding and acceptance of these privacy dynamics within a real-world interaction framework.

These venues may include cafés, restaurants, co-working spaces, bars, or other meeting locations that are suggested based on factors such as user proximity, preferences, time of day, and operational capacity. While such recommendations are intended to assist users in identifying convenient and suitable meeting points, they are generated through automated systems and do not constitute endorsements, certifications, or guarantees by MidPlace. The Platform does not own, operate, or control these venues, and it does not verify the accuracy, safety, quality, or availability of the services offered by them. Any decision to visit, interact with, or transact at a suggested venue is made solely at your discretion and risk, and you agree that MidPlace shall not be held responsible for any issues, disputes, or damages arising from such interactions.
In addition to venue listings, MidPlace may rely on or integrate third-party technologies and service providers to support core functionalities of the Platform. These may include, but are not limited to, mapping and navigation services, location tracking systems, authentication providers, communication infrastructure, and decentralized identity frameworks such as NOSTR. These third-party services operate independently and are governed by their own terms of use and privacy policies. As a result, the Platform does not guarantee uninterrupted access, accuracy, or reliability of these third-party services, and you acknowledge that any disruptions, errors, or limitations originating from such integrations are beyond the direct control of MidPlace.
By using the Platform, you agree that MidPlace shall not be liable for any loss, damage, or inconvenience caused by third-party services or venues, including but not limited to service interruptions, incorrect information, operational failures, or disputes between you and a third-party provider. You further acknowledge that any engagement with third-party services, whether through the Platform or independently, may subject you to additional terms and conditions, and it is your responsibility to review and comply with those terms. MidPlace may update, replace, or discontinue integrations with third-party services or remove venue listings at its discretion without prior notice. Your continued use of the Platform signifies your understanding that such third-party components are provided as part of a broader ecosystem and that MidPlace’s responsibility is limited to facilitating access rather than guaranteeing their performance or outcomes.
All intellectual property rights associated with MidPlace, including but not limited to its software, design, user interface, algorithms, databases, trademarks, logos, branding elements, and all related content, are the exclusive property of MidPlace or its licensors and are protected under applicable intellectual property laws. By accessing and using the Platform, you are granted a limited, non-exclusive, non-transferable, and revocable license to use the Services solely for personal and lawful purposes in accordance with these Terms. This license does not grant you any ownership rights or proprietary interest in the Platform or its underlying technology. You agree that you will not copy, reproduce, modify, distribute, publicly display, reverse engineer, decompile, or otherwise attempt to extract or exploit any part of the Platform’s intellectual property without prior written authorization from MidPlace. You retain ownership of any content that you create and submit to the Platform; however, by uploading such content, you grant MidPlace a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, process, reproduce, adapt, and display such content for the purpose of operating, improving, and promoting the Services. This includes using your content to enable matching, personalize user experience, ensure compliance with these Terms, and maintain platform integrity. You represent and warrant that you have the necessary rights and permissions to upload any content you provide and that such content does not infringe upon the intellectual property or other rights of any third party. MidPlace reserves the right to remove or restrict access to any content that violates these Terms or applicable laws.
You further agree not to use the Platform’s branding, trademarks, or proprietary elements in any manner that may cause confusion, misrepresentation, or unauthorized association with MidPlace. This includes refraining from creating derivative works, imitating the Platform’s design or functionality, or using its intellectual property for commercial purposes without explicit permission. Any feedback, suggestions, or ideas you provide to MidPlace regarding improvements or enhancements to the Services may be used by the Platform without any obligation to compensate you, and you hereby assign any associated rights to such contributions to MidPlace. By using the Platform, you acknowledge the importance of respecting intellectual property rights and agree to comply with all applicable laws and these Terms in relation to both Platform-owned and user-generated content. Failure to do so may result in enforcement actions, including account suspension, content removal, or legal proceedings where necessary.
MidPlace reserves the right to suspend, restrict, or terminate your account at any time if it determines, at its sole discretion, that your use of the Platform violates these Terms, poses a risk to other users, or undermines the integrity, security, or lawful operation of the Services. Such actions may be taken in response to user complaints, suspicious activity, failure to comply with verification requirements, or engagement in conduct that is harmful, deceptive, or otherwise inconsistent with the intended purpose of the Platform. Depending on the severity and nature of the issue, MidPlace may impose temporary restrictions on certain features, limit account visibility, or suspend access pending further review. In cases involving serious violations, including unlawful behavior, repeated misconduct, or attempts to manipulate system functionalities, the Platform may proceed with immediate and permanent termination without prior notice.
You acknowledge that account suspension or termination may result in the loss of access to your profile, connections, interaction history, and any associated data or content stored on the Platform, subject to applicable data retention obligations under law. MidPlace is not obligated to restore access to a terminated account or to provide copies of user data beyond what is required under applicable regulations. If your account is suspended for verification or compliance reasons, you may be required to provide additional information or documentation within a specified timeframe to regain access. Failure to respond adequately or within the required period may result in permanent deactivation of your account. Additionally, MidPlace reserves the right to prevent re-registration or creation of new accounts by users whose accounts have been terminated for violations, including through the use of device identification, contact information, or other technical measures.
You may choose to terminate your account at any time by following the procedures provided within the Platform. Upon voluntary termination, your access to the Services will be discontinued, and your profile will no longer be visible to other users. However, certain data may be retained by MidPlace for a limited period to comply with legal obligations, resolve disputes, enforce these Terms, or maintain system integrity. Termination of your account, whether initiated by you or by the Platform, does not relieve you of any obligations or liabilities incurred prior to such termination. MidPlace shall not be liable for any loss, damage, or inconvenience resulting from the suspension or termination of your account, including loss of connections or missed opportunities. By using the Platform, you acknowledge that continued access is conditional upon your compliance with these Terms and that MidPlace retains full authority to enforce its policies in order to protect the community and maintain a secure operating environment.
To the fullest extent permitted by applicable law, MidPlace, its affiliates, directors, employees, partners, and service providers shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of, or inability to use, the Platform and its Services. This limitation applies regardless of the nature of the claim, whether based on contract, tort, negligence, strict liability, or otherwise, and includes, without limitation, damages for personal injury, emotional distress, loss of data, loss of business opportunities, reputational harm, or financial loss. You expressly acknowledge that MidPlace functions solely as an intermediary platform designed to facilitate introductions and coordination between users, and that it does not control, supervise, or guarantee the actions, behavior, or intentions of any individual or third party encountered through the Platform. As such, any interaction, whether online or offline, including in-person meetings, is undertaken entirely at your own risk, and you accept full responsibility for any outcomes arising from such interactions.
MidPlace does not warrant that the Services will be uninterrupted, error-free, secure, or free from defects, nor does it guarantee that any matches, connections, or interactions will lead to successful or satisfactory outcomes. The Platform relies on complex technologies, including location-based systems, third-party integrations, and user-generated data, all of which may be subject to inaccuracies, delays, or failures beyond the direct control of MidPlace. You agree that MidPlace shall not be liable for any disruptions, inaccuracies, or limitations in functionality, including but not limited to incorrect location data, failed connection attempts, delayed notifications, or system outages. Furthermore, MidPlace disclaims any responsibility for the conduct, content, or actions of other users, including any misrepresentation, fraudulent activity, or harmful behavior that may occur on or off the Platform. Even where the Platform provides safety features, verification mechanisms, or moderation tools, such measures are not exhaustive and do not eliminate the possibility of risk or misuse.
In jurisdictions where limitations of liability are restricted or not fully enforceable, MidPlace’s liability shall be limited to the maximum extent permitted by law. In no event shall the total aggregate liability of MidPlace, arising out of or relating to your use of the Services, exceed the amount, if any, paid by you to MidPlace for accessing the Platform within the preceding twelve (12) months, or a nominal amount as permitted under applicable law if no such payments have been made. You agree that this limitation represents a reasonable allocation of risk between you and the Platform, taking into account the nature of the Services and the fact that MidPlace does not charge users for core functionalities in many cases. By continuing to use the Platform, you acknowledge that you have understood and accepted these limitations and that they are a fundamental condition of your access to MidPlace. If you do not agree with this limitation of liability, you must discontinue use of the Services immediately.
By accessing and using MidPlace, you agree to indemnify, defend, and hold harmless MidPlace, its affiliates, directors, officers, employees, contractors, and service providers from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or in connection with your use of the Platform, your violation of these Terms, or your infringement of any rights of another user or third party. This obligation applies to all forms of claims, whether civil, criminal, regulatory, or administrative in nature, and includes situations where your actions, whether intentional or negligent, result in harm, dispute, or legal exposure to the Platform or any associated party. You acknowledge that as a user participating in a platform designed for real-world interactions, your conduct both online and offline may have legal and practical consequences, and you accept full responsibility for ensuring that your actions remain compliant with applicable laws and these Terms.
Your indemnification obligation extends to any claims arising from interactions initiated through MidPlace, including but not limited to disputes between users, incidents occurring during meetups, misuse of personal or location data, or any form of misconduct, harassment, or unlawful activity. In the event that another user, third-party service provider, or regulatory authority brings a claim against MidPlace that is directly or indirectly related to your behavior, content, or use of the Platform, you agree to assume responsibility for defending such claims and covering any resulting liabilities or costs incurred by MidPlace. This includes situations where you provide false information, misuse platform features, violate privacy expectations, or engage in activities that compromise the safety or integrity of the Platform. MidPlace reserves the right to participate in the defense of such claims at its own expense, and you agree to cooperate fully in any legal or investigative process related to such matters.
You further agree that this indemnification obligation shall survive the termination or suspension of your account and will remain enforceable even after you cease using the Platform. This means that any liabilities arising from your past use of MidPlace, including interactions, content, or conduct that occurred prior to termination, may still be subject to indemnification. MidPlace shall not be liable for any losses or damages that arise as a result of enforcing this provision, and you acknowledge that this clause is essential to protecting the Platform from undue legal exposure caused by user behavior. By agreeing to these Terms, you confirm your understanding that MidPlace operates as an intermediary and that responsibility for user actions ultimately rests with the individuals involved. Your commitment to indemnify the Platform reflects your acceptance of this responsibility and your agreement to bear the consequences of any misuse, violation, or unlawful conduct associated with your use of the Services.
MidPlace reserves the right to modify, update, or revise these Terms and Conditions at any time to reflect changes in legal requirements, regulatory obligations, technological advancements, or enhancements to the Platform’s features and functionality. As a dynamic service operating in a rapidly evolving digital and legal environment, MidPlace may need to adapt its policies to ensure continued compliance, operational efficiency, and user safety. Any such modifications will be effective upon being published on the Platform or through other appropriate communication channels. While MidPlace may, at its discretion, notify users of significant changes through in-app notifications, email, or other means, it is your responsibility to periodically review these Terms to remain informed about any updates. Continued access to or use of the Platform after the effective date of any changes shall constitute your acceptance of the revised Terms.
The scope of modifications may include, but is not limited to, changes in platform features such as location tracking mechanisms, matching algorithms, interaction rules, privacy controls, or integration with third-party services. MidPlace may also update provisions related to user responsibilities, acceptable use, safety protocols, or legal compliance to align with evolving industry standards and applicable laws. In certain cases, changes may be implemented to address security vulnerabilities, prevent misuse, or improve the overall reliability and performance of the Services. You acknowledge that such modifications are necessary to maintain the integrity and effectiveness of the Platform and that they may impact how you interact with the Services. If you do not agree with any updated Terms, your sole remedy is to discontinue use of the Platform and, if applicable, terminate your account in accordance with the procedures provided.
MidPlace shall not be liable for any inconvenience, loss, or disruption resulting from modifications to these Terms or the Services, provided that such changes are made in good faith and in accordance with applicable laws. You agree that no prior version of these Terms shall create any binding obligation once updated Terms are in effect, except where explicitly stated otherwise. Additionally, any continued use of the Platform following a modification shall be deemed as your acknowledgment and acceptance of the revised provisions, regardless of whether you have reviewed them. This approach ensures that all users operate under a consistent and up-to-date legal framework while using MidPlace. By agreeing to these Terms, you accept that modifications are an inherent aspect of a digital service and that your ongoing use of the Platform signifies your willingness to comply with its current and future conditions.
These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. By accessing and using MidPlace, you agree that the legal relationship between you and the Platform is subject to Indian law, irrespective of your location or place of residence. This governing law framework has been selected to provide consistency, clarity, and compliance with the regulatory environment in which MidPlace operates. At the same time, MidPlace acknowledges that users may access the Platform from different jurisdictions, and therefore, you agree to comply with all applicable local laws, regulations, and legal requirements that may apply to your use of the Services. Where mandatory provisions of local law apply and cannot be overridden by contract, such provisions shall prevail to the extent required, without affecting the validity of the remaining Terms.
Any disputes, claims, or controversies arising out of or relating to these Terms, the use of the Platform, or any interactions facilitated through MidPlace shall be subject to the exclusive jurisdiction of the competent courts located in India. By agreeing to these Terms, you expressly consent to the jurisdiction of such courts and waive any objections based on inconvenience of forum or similar grounds. MidPlace may, at its discretion, seek to resolve disputes through amicable means prior to initiating formal legal proceedings, and users are encouraged to engage in good faith discussions to address concerns or disagreements. However, in the event that a dispute cannot be resolved informally, both parties agree that the matter shall be adjudicated in accordance with Indian legal procedures. This provision applies to all users globally, unless otherwise required by applicable consumer protection laws in your jurisdiction that mandate a different forum.
You further acknowledge that MidPlace operates as a digital intermediary and that any claims related to user interactions, third-party services, or real-world incidents may involve multiple parties and legal considerations. In such cases, MidPlace’s liability, if any, shall be determined in accordance with these Terms and applicable laws, and nothing in this section shall be interpreted as expanding the Platform’s responsibility beyond what is expressly stated. If any provision of this section is found to be invalid or unenforceable under applicable law, the remaining provisions shall continue in full force and effect. By continuing to use the Platform, you confirm your understanding and acceptance of this governing law and jurisdiction framework, and you agree that it provides a fair and reasonable basis for resolving any disputes that may arise in connection with your use of MidPlace.
These Terms and Conditions, and any dispute, claim, or controversy arising out of or relating to your access to or use of MidPlace, shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. By agreeing to these Terms, you acknowledge that MidPlace is developed and operated within the Indian legal framework and that such framework shall form the basis for interpreting your rights and obligations under this agreement. Where any mandatory provisions of local law apply and cannot be contractually excluded, such provisions shall take precedence to the extent required, without invalidating the remainder of these Terms.
Any disputes arising between you and MidPlace, whether contractual, statutory, or otherwise, shall be subject to the exclusive jurisdiction of the competent courts located in India. By using the Platform, you expressly consent to the jurisdiction and venue of such courts and waive any objections based on forum non conveniens or any similar grounds. This means that any legal proceedings, claims, or enforcement actions initiated by either party shall be brought before the appropriate courts within India, unless otherwise required by applicable consumer protection laws in your place of residence that mandate an alternative jurisdiction. MidPlace may, at its sole discretion, attempt to resolve disputes through informal means, including user support channels or good faith negotiations, prior to initiating formal legal proceedings. You agree to participate in such efforts in a reasonable manner, recognizing that early resolution may help avoid unnecessary legal costs and delays. However, if a dispute cannot be resolved amicably, it shall proceed in accordance with the legal procedures and remedies available under Indian law.
You further acknowledge that the nature of MidPlace as an intermediary platform facilitating real-world interactions may give rise to complex disputes involving multiple parties, including other users or third-party service providers. In such cases, MidPlace’s role shall be limited to that defined under these Terms, and nothing in this section shall be interpreted as expanding its liability or obligations beyond what is expressly stated. Any claims related to user conduct, offline interactions, or third-party services must be addressed in accordance with the applicable legal framework and may require direct engagement with the relevant parties involved. If any provision within this section is found to be invalid, unenforceable, or inconsistent with applicable law, such provision shall be modified or interpreted to the minimum extent necessary to make it enforceable, while the remaining provisions shall continue in full force and effect. By continuing to use MidPlace, you confirm that you have read, understood, and accepted this governing law and jurisdiction clause as a fundamental part of your agreement with the Platform.
